Terms of Service

This document was written to be honest and specific about how SellZyme actually works, but it has not yet been reviewed by counsel and is not a final agreement. If you need our position in writing for a procurement or legal review before then, ask us directly.

SellZyme is software that can spend money on your Amazon account, so these terms are mostly about the boundary between what you authorise and what we do. Automation only ever acts inside the autonomy level and guardrails you set, and you can withdraw that authority at any time.

Who these terms are with

These terms are an agreement between you (or the company you represent) and SellZyme, Inc., a corporation incorporated in Delaware, United States, registered office 131 Continental Drive, Suite 305, Newark, New Castle County, Delaware 19713, United States.

By using SellZyme you accept them. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

What SellZyme does

SellZyme is an AI-native Amazon PPC automation platform. Its agent, Zyme, predicts the likely financial outcome of an advertising action — sales, spend, ACOS, and profit impact — before executing it, shows its forecasts as honest ranges with published accuracy, and earns autonomy (Advisor → Co-pilot → Autopilot) by verifying its own predictions inside hard guardrails.

Depending on the autonomy level you choose, it will either recommend actions for your approval, or execute them for you inside the limits you have set.

What you authorise us to do — and what you don't

This is the most important section in this document, so it is written plainly rather than defensively.

  • You connect your Amazon account through Amazon's official authorisation flow. We act on it only through Amazon's APIs, and only within the scopes that flow grants.
  • You choose an autonomy level, per account and per action type — from recommendation-only, where nothing changes without you, through to full automation.
  • You set the guardrails: spend ceilings, ACOS thresholds, margin floors, and any campaigns that are off-limits. These are hard limits. Automation is not permitted to cross them regardless of what it predicts.
  • We will not take action types you have not enabled, and we will not exceed the limits you have set.
  • You can change the autonomy level, change the guardrails, or revoke access entirely, at any time. Revoking access stops automation immediately.

What you are responsible for

  • The accuracy of what you tell us — particularly your product economics. We evaluate actions against the margins you give us; if those are wrong, the decisions will be too.
  • The autonomy level and guardrails you choose. They are yours to set, and they are the boundary of what the software may do.
  • Your compliance with Amazon's own terms and policies. Your relationship with Amazon is your own.
  • Keeping your account credentials secure and telling us promptly if you think they've been compromised.

Predictions are predictions

SellZyme models likely outcomes. It is frequently right and it is sometimes wrong, and Amazon is a competitive auction in which competitors do surprising things.

We do not guarantee any particular advertising result, level of sales, ACOS, TACOS, or profit. What we do commit to is that predictions are made against your account's own context, that every action is logged with the prediction that justified it, that realised outcomes are compared back against those predictions, and that actions are bounded by your guardrails so that an error stays a small one.

Fees

Pricing is being calibrated with early partners and is not yet published. Where fees apply, they will be as agreed in your order or subscription, and we will tell you before any change takes effect.

Your data and your content

You keep ownership of your data. You grant us the permission we need to process it in order to provide the product — nothing broader. How we handle personal data is set out in the Privacy Policy, which forms part of these terms.

Our intellectual property

SellZyme — the software, the models, the interface, the Zyme character, and the brand — remains ours. You get a limited, non-exclusive, non-transferable right to use the product while your agreement is in effect. You may not copy, reverse engineer, resell, or use it to build a competing product.

Availability

We work to keep SellZyme available and correct, but we do not promise it will be uninterrupted or error-free, and we depend on Amazon's APIs, which are outside our control. Where we commit to a service level, it will be stated in your agreement.

Liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, or consequential losses, and our total liability is limited to the fees you paid us in the twelve months before the claim.

Nothing here excludes liability that cannot lawfully be excluded — including for fraud, or for death or personal injury caused by negligence.

Ending the agreement

You can stop using SellZyme and revoke our access at any time. Either party may terminate as set out in your agreement, or immediately for material breach. On termination we stop processing your data other than as required by law, and the Privacy Policy governs what happens to it.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules, and the courts of Delaware have exclusive jurisdiction — except that either party may seek injunctive relief where needed to protect its intellectual property.

Changes

We may update these terms. If a change is material we will tell you before it takes effect. Questions: legal@sellzyme.com.
